All services are delivered under mutually agreed proposals, contracts, or work orders.

3. Use of Website & Content

All website content (text, graphics, logos, demos, and designs) is the property of ICode IDEA. You may view and use information for personal or business reference only. Redistribution, copying, framing, or scraping of website content is prohibited without prior written consent.

4. Intellectual Property

All software, code, designs, and deliverables created by ICode IDEA remain our intellectual property until full payment is received. Upon completion and payment, clients are granted a non-exclusive, royalty-free license to use the deliverables for their business purposes. Any third-party tools, APIs, or licenses used are subject to their respective terms.

5. Client Responsibilities

Clients agree to provide accurate requirements, information, and access necessary for project delivery. Clients must ensure that provided content (text, images, data) does not infringe third-party rights or laws, and must comply with applicable data protection and privacy regulations when sharing information.

6. Payments & Refunds

Payments are due as per the signed proposal or contract. Delays in payment may pause or terminate services. Due to the nature of digital and IT services, fees are non-refundable once work has commenced, unless otherwise stated in a written agreement.

7. Confidentiality

Both parties agree to keep business, technical, and project-related information confidential. ICode IDEA will not share client data with third parties except where required by law or with explicit client consent.

8. Warranties & Limitations

ICode IDEA makes reasonable efforts to deliver reliable, quality solutions. However, we do not guarantee uninterrupted, error-free services or immunity from external threats. Clients are responsible for data backups and ongoing security unless covered under a maintenance contract.

9. Liability

ICode IDEA shall not be held liable for indirect, incidental, or consequential damages arising from the use of our services or website. Maximum liability, if proven, shall not exceed the amount paid by the client for the specific service that gave rise to the claim.

10. Termination

Either party may terminate services with written notice as per contract terms. ICode IDEA reserves the right to suspend or terminate accounts or services for breach of these Terms or misuse of our platform.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall fall under the jurisdiction of the courts in Hyderabad, Telangana.
